- 1Definitions
1 In this Act, “Board” means the Board of Trustees of the Centre; (“conseil”) “Centre” means The Centennial Centre of Science and Technology; (“Centre”) “Minister” means the Minister of Culture and Communications. (“ministre”) R.S.O. 1990, c. C.5, s. 1.

- 2Centre continued
2 (1) The corporation without share capital known as The Centennial Centre of Science and Technology is continued under the name The Centennial Centre of Science and Technology in English and Centre Centennial des sciences et de la technologie in French, and shall consist of not fewer than sixteen and not more than twenty-six trustees. R.S.O. 1990, c. C.5, s. 2 (1). (2) Repealed: 2009, c. 33, Sched. 11, s. 2 (1). Fiscal year (3) The fiscal year of the Centre commences on the 1st day of April in each year and ends on the 31st day of March in the following year. R.S.O. 1990, c. C.5, s. 2 (3). - 3Appointment of trustees
3 (1) The Lieutenant Governor in Council shall appoint the trustees of the Centre who shall be its Board of Trustees, and shall designate one of them as chair and another as vice-chair of the Board. R.S.O. 1990, c. C.5, s. 3 (1). Term (2) A trustee may be appointed for a term not exceeding three years, but may be reappointed for one or more further terms. R.S.O. 1990, c. C.5, s. 3 (2). Remuneration (3) The Centre may pay those of its trustees who are not public servants employed under Part III of the Public Service of Ontario Act, 2006 such remuneration and expense allowances as are from time to time fixed by the Lieutenant Governor in Council. - 4Powers of Board
4 (1) The affairs of the Centre shall be under the control of the Board, and the Board has all the powers necessary or convenient to perform its duties or achieve the objects of the Centre. R.S.O. 1990, c. C.5, s. 4 (1). Responsible to Minister (2) The Board is responsible to the Minister. R.S.O. 1990, c. C.5, s. 4 (2). Chair (3) The chair shall preside at all meetings of the Board, and, in his or her absence or if the chair is vacant, the vice-chair has all the powers and shall perform the duties of the chair. - 5Director General and other employees
5 (1) A Director General of the Centre and such other employees as are considered necessary for the proper conduct of the business of the Centre may be appointed under Part III of the Public Service of Ontario Act, 2006. 2006, c. 35, Sched. C, s. 13 (2). Duties of Director General (2) The Director General of the Centre shall have the management and administration of the Centre, subject to the supervision and direction of the Board. - 6Objects
6 The objects of the Centre are, (a) to depict to the public and to conduct a program of education in the origins, development and progress of science and technology, and their relationship to society; (b) to depict the role of Ontario in the furtherance of science and technology; (c) to stimulate the interest of the public in matters depicted by the Centre; (d) to collect, manufacture, market, exhibit and sell objects and displays; and (e) to maintain and operate a science centre and related facilities for the furtherance of the objects set out in clauses (a) to (d) and to provide consulting services in relation to all the matters set out in this section. - 7Income
7 (1) In addition to the money appropriated for the purposes of the Centre by the Legislature, the Centre may retain its income. 1993, c. 16, s. 4 (4). Same (1.1) The income of the Centre shall be applied to carrying out its objects. 1993, c. 16, s. 4 (4). Idem (2) The Board may acquire money, securities or other property, real or personal, by gift, devise, bequest or otherwise, and may expend, administer or dispose of any such money, securities or other property in the promotion of its objects, subject to the terms, if any, upon which such money, securities or other property were given, devised, bequeathed, or otherwise made payable to the Board or to the Centre. - 8Exemption from taxation
8 The real and personal property, business and income of the Centre are exempt from all assessment and taxation made, imposed or levied by or under the authority of any Act of the Legislature. R.S.O. 1990, c. C.5, s. 8.

- 9Audit
9 The accounts and financial transactions of the Centre shall be audited annually by the Auditor General, and a report of the audit shall be made to the Board and to the Minister. R.S.O. 1990, c. - 10Immunity of trustees
10 (1) No cause of action arises against a trustee of the Centre as a result of any act done in good faith in the performance or intended performance of his or her duties or any alleged neglect or default in the performance in good faith of his or her duties. 2023, c. 9, Sched. 6, s. 1. No proceeding (2) No proceeding, including but not limited to a proceeding for a remedy in contract, restitution, tort or trust, shall be instituted against a trustee of the Centre by a person who has suffered any damages, injury or other loss based on or related to any cause of action described in subsection (1). 2023, c. 9, Sched. 6, s. 1.
